Affiliate Marketing Agreement

PARTIES

This Affiliate Marketing Agreement ("Agreement"), made July 2021, is executed between NAD Australia Pty Ltd ("Company") and individual person ("Affiliate").

The Company and the Affiliate, each referred to as a "Party" and, collectively, as the "Parties", agree to the following:

NATURE OF AGREEMENT

This agreement establishes the affiliation arrangement between the Parties, wherein the Affiliate agrees to promote the Company's website and products online in exchange for monetary compensation for every purchase made using the Affiliates discount code or link.

CONSIDERATION AND PAYMENT

In consideration of the mutual promises, the Affiliate shall be paid $10AUD for each bottle of NAD+ purchased made using the Afilliate's link as commission. Payment of commission shall be made every 30 days through direct PayPal transfer.

COVENANTS, REPRESENTATIONS AND WARRANTIES

• The Parties warrant that each is a registered entity, duly authorised to enter into this Agreement and fulfil their respective obligations.
• The Affiliate acknowledges its responsibility to to sell and promote the products in line with the Company's guidlines.
• The Parties agree not to disclose any information provided in this Agreement or information exchanged via email or social media to any third party unless asked to do so by the court.

GENERAL PROVISIONS

TERM AND TERMINATION

This Agreement shall be in full force from the date of signing and remain in effect until terminated by the Parties. Either Party may terminate the Agreement through a written request via email.

RELATIONSHIP

The Affiliate shall be considered an independent contractor under this Agreement. Nothing herein shall be construed to form a business partnership or joint venture between the Parties.

APPLICABLE LAW

This Agreement and the interpretation of its terms shall be governed by and subject to the exclusive jurisdiction of the federal and state laws of Australia.
